10. At all times Publisher needs to comply in all respects with the Real Estate Settlement Procedures Act (“RESPA”) section 8, 12 U.S.C. § 2607, and its implementing Regulation X, 12 C.F.R. § 1024.14, in accordance with all applicable official guidance.  Such official guidance includes but is not limited to (i) the Department of Housing and Urban Development’s (“HUD”) Statement of Policy 1996-1, Computer Loan Origination Systems, 61 Fed. Reg. 29255 (June 7, 1996), and (ii) the Consumer Financial Protection Bureau’s Advisory Opinion on Digital Mortgage Comparison-Shopping Platforms, 88 Fed. Reg. 9162 (February 13, 2023)(the “Advisory Opinion”) (collectively, “Official Guidance”). The Advisory Opinion describes digital mortgage comparison-shopping platforms as consumer-facing websites or online applications, sometimes called “online marketplaces” that allow consumers to search for and compare options for mortgages or other settlement services.  The Advisory Opinion states that an operator of such a digital platform receives a prohibited referral fee in violation of RESPA section 8 when: (1) the platform non-neutrally uses or presents information about one or more settlement service providers participating on the platform; (2) that non-neutral use or presentation of information has the effect of steering the consumer to use, or otherwise affirmatively influences the selection of, those settlement service providers, thus constituting referral activity; and (3) the operator receives a payment or other thing of value that is, at least in part, for that referral activity. By running your mortgage campaigns through PX, you declares that you have made a reasonable and good faith determination that either (1) your Platform does not qualify as a computer loan origination system or a digital mortgage comparison-shopping platform within the meaning of the Official Guidance or (2) the services you provide to PX comply with RESPA and the Official Guidance in all respects.
